1. Parties and scope
“Licensor” means Klym Zhuravlov-Iuzefovych, identified above. “You” means the individual or legal entity identified as the purchaser in the applicable order, or otherwise expressly authorized by Licensor in writing.
“Skill” means the files supplied by Licensor with this license, including skill instructions, prompts, documentation, scripts, code, templates, examples, configuration files, and accompanying assets, to the extent owned by Licensor. “Modified Skill” means any adaptation, translation, edited version, or other derivative work of the Skill or its copyright-protected portions.
This license governs the purchased version and any updates supplied under this license. Separately identified third-party materials remain governed by their own licenses. This license does not restrict rights granted by those licenses.
The Skill is licensed, not sold. Purchasing or receiving a copy does not transfer copyright or ownership of the Skill.
2. One named user per purchase
Each purchase grants exactly one named-user seat for one natural person. The purchaser may be an individual or a business or other legal entity, but the rights granted under this license may be exercised only by the single natural person who is the “Authorized User.”
“Authorized User” means:
- for an individual purchaser, that individual; or
- for a business or other legal-entity purchaser, one natural person identified by name and email in the order or otherwise designated to Licensor in writing before that person first downloads, accesses, or uses the Skill. That person must be an owner, officer, or employee of the purchaser and may use the Skill solely on the purchaser's behalf.
If a business purchase does not identify a separate Authorized User, the natural person identified by name and email as the customer, purchaser, or recipient in the order is the Authorized User unless Licensor agrees otherwise in writing before first use.
A business purchase does not grant any team, departmental, company-wide, or employee-wide license. It grants one seat only. No employee, coworker, contractor, affiliate, client, family member, or other person may access, receive, install, execute, operate, or modify the Skill or a Modified Skill merely because that person works for, is associated with, or uses equipment owned by the purchaser.
Initial delivery of the Skill to the one Authorized User is permitted. Access, delivery, or use by any additional person requires Licensor's prior written consent and, if applicable, payment of any additional fee specified by Licensor. The person who processes payment, administers the order, owns the purchaser, manages IT, or controls a business account does not receive an additional seat merely by performing that role.
Only the Authorized User may access, install, execute, operate, or modify the Skill or a Modified Skill. A seat may not be shared, pooled, rotated, lent, temporarily reassigned, permanently transferred, or otherwise made available to another person without Licensor's prior written consent. This restriction applies even if only one person would use the Skill at a time. Any approved seat transfer or reassignment is effective only on the terms stated in Licensor's written consent.
Subject to payment of the applicable purchase price and compliance with this license, Licensor grants You a non-exclusive, worldwide, perpetual license, subject to Section 8, exercisable only through the Authorized User, to:
- download, install, store, execute, and use the Skill for any lawful personal, non-commercial, commercial, educational, or other purpose;
- make reasonable working and backup copies only on Permitted Devices, except for the limited private provider processing and storage expressly permitted by Section 6;
- modify the Skill for Your own permitted use; and
- use the Skill or a Modified Skill to perform paid work, provide services, and create deliverables for Yourself or Your clients, subject to Sections 3 and 5.
No additional royalty is payable under this license for permitted use or permitted deliverables. This license does not promise future updates, support, or third-party services.
“Permitted Devices” means devices under the Authorized User's exclusive personal control and used only by that Authorized User for purposes involving the Skill. For an individual purchaser, a Permitted Device may be owned or leased by that individual. For a business purchaser, a Permitted Device may be owned or leased by the business only if it is assigned to and used by the Authorized User as that person's individual device. A device is not a Permitted Device for the Skill if other people are allowed to access or use the installed Skill or Modified Skill through that device.
The Authorized User may use the Skill on multiple Permitted Devices. Copies on those devices must be protected by reasonable access controls that prevent other people from accessing or using the Skill. Shared workstations, shared servers, shared virtual desktops, team-accessible installations, and devices on which another person can access or operate the Skill are not Permitted Devices. Section 6 is the only exception for provider infrastructure.
You must not share Skill files, Modified Skill files, download credentials, license credentials, or accounts containing the Skill with other people. Business ownership of a device, account, subscription, workspace, or storage location does not authorize any additional employee or person to access or use the Skill. You are responsible for ensuring that the Authorized User complies with this license. Before a Permitted Device is sold, transferred, reassigned, shared with another user, or otherwise ceases to be under the Authorized User's exclusive control for use of the Skill, all copies of the Skill and Modified Skills must be removed from it.
3. No redistribution without prior written consent
Except for the single-user access expressly permitted by Section 2 and the limited private provider processing expressly permitted by Section 6, You must obtain Licensor's prior written consent before distributing, publishing, sharing, selling, reselling, renting, lending, sublicensing, transferring, delivering, or otherwise making the Skill or any Modified Skill, in whole or in copyright-protected part, available to another person or entity, whether for payment or free of charge.
This restriction includes distribution or access to employees, coworkers, contractors, affiliates, clients, family members, public repositories, shared download links, marketplaces, bundles, training materials, client handovers, shared skill libraries, shared drives, shared workspaces, and products that contain or expose the Skill's files or protected contents. Renaming, translating, reformatting, or modifying the Skill does not remove this restriction.
The Authorized User may use the Skill to perform work for others and deliver outputs permitted by Section 5. You must not make the Skill available for another person to access, invoke, operate, control, retrieve, or use through a hosted service, assistant, agent, bot, API, automation, server, workspace, application, or similar arrangement without Licensor's prior written consent, even if the underlying Skill files remain hidden.
For clarity, this restriction does not prohibit the Authorized User from privately using any such technology to exercise the rights granted under this license, including through the provider processing permitted by Section 6. The restriction applies when another human user or other end user is given access to or use of the Skill, not merely because automated software or provider infrastructure processes the Skill on behalf of the Authorized User.
Recipients of permitted outputs receive no right to access or operate the Skill. You must take reasonable measures to prevent unauthorized disclosure or use.
Consent must expressly identify the permitted additional user, distribution, transfer, or other exception and any applicable conditions. An email or signed document from Licensor expressly granting permission is sufficient. Silence, purchase, attribution, employment relationship, common ownership, business affiliation, device ownership, or a recipient's separate purchase does not by itself authorize You to redistribute Your copy or give another person access to it.
4. Modified versions and license preservation
Every Modified Skill must remain subject to this same license, including its single-user and redistribution restrictions. You must preserve this LICENSE.md file and existing copyright and ownership notices in all copies and Modified Skills. You may add accurate notices identifying Your changes and their author.
You must not relicense the Skill or a Modified Skill under different terms without Licensor's prior written consent. If Licensor authorizes distribution of a Modified Skill, You must include this license and license Your contributions to that Modified Skill under these same terms, unless Licensor expressly agrees otherwise in writing. Authorization for one distribution does not authorize further redistribution by You or a recipient.
You retain any copyright You own in Your original contributions. This license does not assign those rights to Licensor or require You to disclose or deliver private modifications. Independent works that do not incorporate or adapt copyright-protected Skill content are not Modified Skills merely because they interoperate with or were created using the Skill.
5. Outputs and client work
You may use, publish, distribute, and sell outputs and deliverables created using the Skill without Licensor's consent or attribution, provided they do not contain or disclose the Skill or its copyright-protected portions. Ordinary output is not subject to this license solely because the Skill helped produce it.
If a supplied template or example is expressly designated for inclusion in output or client deliverables, You may incorporate it into those deliverables for their intended purpose. This permission does not allow redistribution of the underlying template or example as a standalone or reusable skill, template, or competing source-file package.
Licensor claims no ownership of Your outputs merely because You used the Skill. This provision does not determine whether AI-generated output is copyrightable or grant rights in third-party material.
6. Private AI-provider and technical processing
As a limited exception to the Permitted Devices requirement, the Authorized User may upload, transmit, process, and privately store the Skill and Modified Skills through AI tools, cloud infrastructure, and technical service providers solely to support that Authorized User's permitted use of the Skill.
For clarity, the Authorized User may use the Skill and Modified Skills through AI assistants, AI agents, coding assistants, command-line agents, IDE integrations, desktop agents, cloud or remote agents, automated development environments, and similar software or services, whether processing occurs locally or on provider-operated infrastructure. This permission includes services such as ChatGPT, Codex, Claude, Claude Code, Claude Cowork, Grok, Cursor, and comparable services. Use of such a tool does not constitute redistribution, sharing, an additional seat, or use by another person merely because the tool, its automated systems, or its provider infrastructure receives, stores, executes, processes, or otherwise technically accesses the Skill on behalf of the Authorized User.
This permission applies only where the Skill is used for the Authorized User's permitted use and is not made available for another end user to access, invoke, operate, retrieve, or use. The fact that a service describes its functionality as an agent, bot, assistant, workspace, cloud computer, virtual machine, automation, API, or similar technical environment does not by itself make that use prohibited under this license.
Such processing does not create an additional human seat. The Skill must be accessed and controlled for use only by the Authorized User through an individual account or a private, access-restricted workspace assigned to that Authorized User. A business-owned account or workspace is permitted only if, with respect to the Skill, it is assigned for use exclusively by the Authorized User and is not usable by other people to access, invoke, operate, retrieve, or modify the Skill. Shared team accounts, shared assistants, shared agents, shared prompt or skill libraries, and installations or workspaces usable by other people are prohibited without Licensor's prior written consent.
Provider infrastructure may process or store the Skill as technically necessary to provide the service, including ordinary automated copying, caching, backup, security, and processing functions. Limited access by the provider or its personnel that is reasonably necessary to operate, secure, support, or comply with law in relation to the service does not constitute an additional licensed human user, provided the service is not being used to distribute the Skill to other end users.
The provider's applicable terms, settings, and configuration must not authorize public disclosure or redistribution of the Skill. To the extent reasonably configurable by the Authorized User, the Skill must not be made available for training a shared or general-purpose model. You must use available privacy and access controls reasonably necessary to keep the Skill private and restricted to the Authorized User's permitted use.
This exception does not authorize publishing the Skill in a public assistant, public agent, shared workspace, public prompt library, public repository, or other resource accessible or usable by additional people. It authorizes necessary private technical processing only.
7. Ownership and reserved rights
Licensor retains all rights in the original Skill. No trademark rights, right to claim original authorship, or rights beyond those expressly granted are provided. Nothing in this license gives Licensor ownership of unprotectable ideas, procedures, methods, or independently created works.
8. Breach and termination
Licensor may terminate this license by written notice if You materially breach it. For a breach capable of remedy, Licensor will allow 14 days after written notice to remedy it before termination takes effect. Licensor may terminate immediately by written notice for intentional unauthorized sale, public distribution, or deliberate multi-user access in violation of Sections 2 or 3.
Upon termination, You must stop using and distributing the Skill and Modified Skills and delete copies under Your control, except copies legally required to be retained, which must remain inaccessible for ordinary use. Termination does not affect lawful use of previously created outputs permitted under Section 5. Ownership, single-user restrictions, redistribution restrictions, and accrued claims survive termination. Licensor may seek remedies available under applicable law.
9. Warranties and liability
To the extent permitted by applicable law, the Skill is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. You are responsible for reviewing outputs and deciding whether they are suitable for Your intended use.
To the extent permitted by applicable law, Licensor is not liable for indirect or consequential loss, including lost profits or lost data, arising from the Skill. Nothing excludes or limits liability that cannot lawfully be excluded or limited, or overrides mandatory consumer rights or remedies.
10. General terms and permission requests
Mandatory rights, exceptions, and limitations under applicable law remain unaffected, including any transfer or other rights that cannot lawfully be restricted. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
This license governs use of the Skill. Any change, additional seat, seat transfer, redistribution permission, or other exception must be expressly agreed by Licensor in writing. A later published license version does not automatically replace the version applicable to Your purchase. A failure to enforce a provision is not a waiver.
Request permission for an additional user, seat transfer, redistribution, or other exception through Licensor's contact channel shown on the website or order confirmation from which You purchased the Skill. Include the relevant Skill, purchaser, current Authorized User, proposed additional or replacement user if applicable, intended recipients, proposed access or distribution method, and whether payment will be charged. Unless and until written permission is granted, the existing single-user and redistribution restrictions remain in effect.
